Terms of Service

The conditions under which Chivance provides services. Short version: scoped proposals, honest scope, and you own everything we build for you.

These Terms of Service ("Terms") govern the provision of services by Shenzhen Chivance Technology Co., Ltd. ("Chivance", "we") to clients ("Client", "you"). By engaging us or submitting a brief through this website, you agree to these Terms. In case of conflict between these Terms and a signed Statement of Work (SOW), the SOW governs.

1. Engagement & scope

Every engagement begins with a written proposal or SOW that defines deliverables, out-of-scope items, timeline, and price. Work outside the agreed scope is quoted separately and starts only after written approval.

We scope honestly: if a requested build is not the right solution for your problem, we will say so in the proposal, including a recommendation not to build.

2. Fees & payment

Fees, milestones and payment schedule are set in the proposal. Unless stated otherwise, invoices are due within 14 days; work may be paused on overdue balances.

Retainer engagements bill monthly in advance. Either party may end a retainer with 30 days’ written notice, with final invoice prorated for the notice period.

3. Intellectual property

Upon full payment, all deliverables — code, design assets, documentation and configurations produced specifically for your engagement — are assigned to you, and you own them outright.

We retain the right to reuse our internal tools, frameworks, and general engineering knowledge, and to reference the engagement in our portfolio (anonymized where you prefer; see also our Privacy Policy).

4. Client responsibilities

You provide timely access to systems, accounts, content and decisions needed for the work. Delays on your side may shift the timeline; material changes to scope are requoted.

You are responsible for the accuracy of information you provide and for complying with applicable law in your operation of the store and its data (including customer data).

5. Third-party services

Work may rely on third-party platforms and services (Shopify, hosting providers, APIs, apps). We implement and configure them but are not responsible for their availability, pricing changes, or policy changes.

If a third party changes its terms or capabilities in a way that breaks a deliverable, remediation under a maintenance retainer is quoted as a new scope unless covered by the SOW.

6. Warranties & limitation of liability

We deliver work that conforms to the agreed scope using commercially reasonable skill and care. We do not warrant that any build will achieve specific business outcomes (e.g. conversion rates, sales).

To the maximum extent permitted by law, our aggregate liability under any engagement is limited to the fees paid for that engagement. We are not liable for indirect, incidental or consequential damages, including lost profits, revenue or data.

7. Confidentiality

Both parties keep confidential any non-public information disclosed during an engagement and use it only to perform the work. This obligation survives termination.

8. Termination

Either party may terminate a project engagement with written notice if the other party materially breaches these Terms and fails to cure within 15 days. Upon termination, you pay for work completed and delivered up to that date; deliverables are released upon payment.

9. Dispute resolution & governing law

These Terms are governed by the laws of the People’s Republic of China. Disputes not resolved through good-faith negotiation within 30 days will be submitted to the competent courts of Shenzhen, China.

10. Changes to these Terms

We may update these Terms as our practices evolve. The "last updated" date below reflects the current version; material changes are announced on this page.
